Partnership Agreement
The standard terms that apply when you partner with Indigo Pro Cleaning — covering introductions and referrals, tender support, and joint delivery of cleaning work across the UK.
1. Purpose
This agreement sets out the standard terms on which Indigo Pro Cleaning ("we", "us") works with partner companies ("you", "the partner") to deliver cleaning services. It covers partnerships where you introduce or link us with cleaning opportunities in different areas of the UK, and arrangements where we support the delivery of large tenders or contracts you hold.
2. Scope of services
The services covered may include regular and deep cleaning, end of tenancy cleaning, carpet and upholstery cleaning, and commercial or office cleaning. The exact scope, locations, schedule and pricing for each piece of work will be agreed in writing (by email is fine) before work begins.
3. Our commitments
We will provide experienced, insured and DBS-checked cleaning staff, appropriate supervision, and quality control on every job. We will arrive on time, bring agreed equipment and products, and complete work to the standard set out in the agreed specification. If anything falls short, we will return and put it right at no extra cost.
4. Partner commitments
You will provide accurate job details, safe and reasonable access to the premises, and timely communication about changes. Where we support your tender, you remain responsible for your own client relationship and contractual obligations unless we agree otherwise in writing.
5. Referrals and introductions
Where you introduce an opportunity to us, any referral fee or commercial arrangement will be agreed in writing before the work starts. Neither party is obliged to accept any particular opportunity, and introductions do not guarantee work.
6. Payment terms
Invoices are payable within 14 days of issue unless otherwise agreed in writing. For larger contracts or tenders, a staged payment schedule may be agreed. Late payments may incur interest at the statutory rate.
7. Insurance and compliance
We hold public liability insurance and ensure our cleaners are DBS-checked where required. Both parties agree to comply with applicable health and safety, employment and data protection law at all times.
8. Confidentiality
Both parties will keep commercial terms, client details and any non-public information shared during the partnership confidential, and will not disclose them to third parties without consent, except where required by law.
9. Non-circumvention
During the partnership and for 12 months afterwards, neither party will approach the other's introduced clients or contracts to bypass the agreed arrangement without written consent.
10. Termination
Either party may end the partnership with 14 days' written notice. Work already agreed will be completed and paid for. Terms on confidentiality and non-circumvention survive termination.
